READ CAREFULLY BEFORE PROCEEDING:

This Software Download Terms and End-User Licence Agreement (the “Agreement”) is a legally binding contract. By clicking “I Agree,” or by accessing, viewing, downloading, installing, or using any part of the Dojang Pro software (the “Software”), you agree to be bound by every clause herein. If you do not agree, do not access the Software.

1) LICENCE GRANT, SCOPE, AND NON-COMMERCIAL USE

Subject to your compliance with this Agreement, Dojo Pro Inc. grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Software in object code form solely for Non-Commercial Use. The Software is licensed, not sold. All rights not expressly granted are reserved.

“Non-Commercial Use” means evaluation-only activities, such as personal or internal testing, learning, demonstration, or review to assess the Software’s features and suitability. Non-Commercial Use does not include any operational, production, or event use.

2) MANDATORY COMMERCIAL LICENCE FOR EVENTS

Any use of the Software to operate real events or business activities requires a paid commercial licence, including when the user is an association, non-profit, registered charity, school, club, or business. Examples requiring a commercial licence include running tournaments, scrimmages, timekeeping, scoring, or bracketing. Charging or not charging event fees does not change this requirement.

3) OWNERSHIP & PROPRIETARY TRADE SECRETS

The Software and all associated content are the sole and exclusive property of Dojo Pro Inc. The Licensee acknowledges that the Software’s "Reader Mode" scoring logic, internal administrative workflows, and Poomsae draw algorithms are valuable Trade Secrets. Unauthorized disclosure or replication of these patterns constitutes industrial espionage.

4) ABSOLUTE PROHIBITION ON AI & LLM DISTILLATION

4.1 Non-Distillation Covenant: The Licensee is strictly prohibited from inputting, uploading, or "feeding" any portion of the Software code, logic flows, or UI patterns into any Large Language Model (LLM), Generative AI, or machine learning system (e.g., ChatGPT, Claude, Gemini, Copilot) for the purpose of analysis, distillation, or reverse-engineering.

4.2 No Training Data: You shall not use the Software to "prompt" or "train" an AI to recreate a competing or derivative product. Any AI-generated logic found to be substantially similar to the Dojang Pro engine will be viewed as a direct violation of this Agreement.

5) VICARIOUS LIABILITY & CUSTODIAL RESPONSIBILITY

5.1 Account Guarantor: The Licensee acts as the legal guarantor for their account. Any violation of this Agreement occurring through the Licensee’s credentials—regardless of whether the Licensee personally performed the act—is the sole legal and financial responsibility of the Licensee.

5.2 Third-Party Liability: If the Licensee shares code access, screenshots, or credentials with a third party (contractor, student, or associate), and that third party performs a prohibited act (e.g., AI distillation), the Licensee shall be held Strictly Liable for all damages as if they committed the act personally.

6) SESSION HYGIENE & CACHE SECURITY

6.1 Mandatory Logout: Licensees must explicitly "Log Out" at the conclusion of every session. Relying on "Timeout" is insufficient.

6.2 Terminal Security: If accessing the Software on shared or tournament hardware, the Licensee MUST clear all browser history, cookies, and local cache immediately upon session termination. Failure to secure the browser environment makes the Licensee liable for any subsequent logic leaks from that device.

7) FINANCIAL OBLIGATIONS & AUTOMATIC FEE TRIGGERING

7.1 Billing Trigger: The Licensee acknowledges that the act of creating a "New Tournament" or "New Event" within the Software constitutes a binding request for commercial services. By initializing an event, the Licensee agrees to pay all applicable fees associated with that event.

7.2 Fee Structure: Unless otherwise agreed in a separate signed writing, the Licensee agrees to be billed based on the following metrics:
(a) Per Competitor Fee: A fixed fee for every unique athlete/competitor registered or managed within the tournament database.
(b) Module Separation: The "Poomsae Scoring System" and "Tournament Management Suite" are separate billable items. Use of both modules will result in cumulative charges at the current published rates.

7.3 Applicable Rates & Inquiries: All charges are governed by the "Applicable Fees of the Time" as published on dojopro.net or within the software's billing dashboard. If the Licensee wishes to obtain a schedule of current applicable fees and rates, they may contact the Company at the email address or phone number provided in the "Legal Domicile & Notices" section of this Agreement.

8) PROHIBITED USES & VISUAL CAPTURE

You will not: (a) copy, modify, or create derivative works; (b) reverse engineer or decompile the source code; (c) remove proprietary notices; (d) circumvent technical protection measures. Visual Capture: Recording, photographing, or screenshotting the internal administrative interfaces or "Ring Control" logic is strictly prohibited.

9) DATA, PRIVACY (PIPA), AND SECURITY

Dojo Pro Inc. handles personal information under the Alberta Personal Information Protection Act (PIPA). You are responsible for configuring your systems securely and ensuring participants have consented to the entry of their data into the Software.

10) DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS. DOJO PRO INC. DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING FITNESS FOR A PARTICULAR PURPOSE.

11) LIMITATION OF LIABILITY

DOJO PRO INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR DATA. TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNTS PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12) INDEMNITY & LEGAL COSTS

You agree to defend and indemnify Dojo Pro Inc. and its officers from any claims arising from your breach of this Agreement. This indemnity includes the payment of all legal fees on a Solicitor-and-Own-Client basis required to enforce this Agreement against the Licensee or any third party obtaining access via the Licensee.

13) GOVERNING LAW & MANDATORY VENUE

This Agreement is governed by the laws of the Province of Alberta. The parties irrevocably agree to the exclusive jurisdiction of the Court of King’s Bench in Medicine Hat, Alberta. Licensee waives any objection to venue or forum non conveniens.

14) EQUITABLE RELIEF

Licensee acknowledges that a breach of Trade Secrets or AI-Prohibition causes irreparable harm. Dojo Pro Inc. is entitled to seek an immediate worldwide injunction without the necessity of posting a bond.
